Terms of Service

These Terms of Service govern access to and use of Upplii's websites, applications, and services provided by Upplii Inc.

1. About Upplii

Upplii Inc. provides software for sports clubs, teams, leagues, programs, tournaments, registrations, memberships, schedules, communications, websites, payments, and related organization-management activities. Not every capability is available on every plan or for every organization.

2. Acceptance of the terms

By accessing or using Upplii, you agree to these Terms. If you create, manage, or use an account for a club, team, league, program, or other organization, you represent that you have authority to act for that organization and, where applicable, to bind it to these Terms.

3. Account eligibility and responsibility

You must provide accurate account information, keep it reasonably current, and protect your login credentials. You are responsible for activity under your account unless the activity results from Upplii's failure to meet its own obligations. Please report suspected unauthorized access promptly and never send passwords or full payment-card details by email.

Organization administrators are responsible for managing access within their organization, inviting authorized users, removing access when it is no longer needed, and ensuring that people acting for minors or dependants have the authority to do so.

4. Organizations, administrators, and participants

Upplii provides the technology platform. Subscribing clubs and organizations control many operational decisions, including eligibility, rosters, schedules, registration requirements, pricing, policies, approvals, cancellations, and refunds. Organization administrators manage those decisions inside the service.

Members, guardians, players, coaches, staff, volunteers, registrants, and other end users may interact with Upplii through an organization. Upplii is not the operator of a sporting activity merely because that activity is managed through Upplii.

5. Use of the service

You may use Upplii only for lawful organization and sports-management purposes. You must comply with applicable laws, these Terms, and policies or instructions issued by the organization through which you participate.

6. Acceptable use

You must not use Upplii to:

  • Engage in illegal, fraudulent, abusive, or deceptive activity.
  • Harass, threaten, or submit harmful content.
  • Attempt unauthorized access, security testing, or circumvention.
  • Upload malware or interfere with platform operation.
  • Scrape or bulk-extract data outside supported functionality.
  • Impersonate another person or organization.
  • Misuse personal information or collect information without proper authority.
  • Upload content that infringes another person's rights.
  • Send unlawful spam or other unlawful communications.

7. Organization and user content

Organizations and users retain ownership of content and data they submit to Upplii. You grant Upplii the limited rights needed to host, process, transmit, display, back up, secure, support, and otherwise operate the service.

Organizations must have appropriate authority to submit member, guardian, child, registration, roster, schedule, payment, and related information. Upplii does not receive a right to commercially exploit customer content outside operating and improving the service.

8. Minor and child information

Organizations, guardians, and authorized adults are responsible for having the authority and permissions needed to submit information about children or dependants. The service is not intended to let children independently create organization accounts unless Upplii and the applicable organization expressly support and lawfully authorize that workflow.

9. Subscriptions, fees, and taxes

Some Upplii services require a paid subscription. The applicable plan, billing frequency, price, taxes, and other order terms are shown before purchase or in the applicable order or checkout flow. Recurring plans may renew automatically until cancelled where that is how the selected plan operates.

Customers authorize applicable recurring charges and are responsible for maintaining valid billing information. Prices and plans may change with appropriate notice. Failed or overdue payments may result in restricted or suspended service.

10. Registrations and participant payments

Organizations may use Upplii to collect registration, membership, program, league, tournament, product, or other activity-related payments. The organization generally determines the underlying charge, payment schedule, deposit, fees, taxes, and policies shown during checkout.

Payment processing may be provided by Stripe or another disclosed payment processor. Upplii does not store complete payment-card credentials. Upplii may store transaction records such as payment status, amount, currency, processor references, receipt information, fees, refunds, and dispute status.

Organization refund and cancellation policies may apply to participant charges, subject to applicable law and the terms shown at checkout. Processing and platform fees may be non-refundable where disclosed and permitted. Chargebacks and disputes may be handled through the applicable payment processor.

11. Cancellations and refunds

Cancelling an Upplii software subscription is separate from cancelling a registration or sporting activity. Subscription cancellation and refund rights depend on the applicable plan, checkout, order terms, and law.

For registrations and activities, refund decisions are generally controlled by the relevant club or organization, subject to applicable law and the terms shown at checkout.

12. Third-party services and links

Upplii may rely on third-party providers for hosting, database and authentication services, communications, analytics, error monitoring, and payment processing. Third-party services may have their own terms and privacy practices. Upplii remains responsible for its own obligations under these Terms and applicable law.

13. Intellectual property

Upplii and its licensors retain ownership of the platform, branding, software, design, documentation, and related intellectual property. During the applicable subscription or authorized access period, customers and users receive a limited, non-exclusive, non-transferable right to use the service as permitted by these Terms.

14. Feedback

If you voluntarily provide product ideas, suggestions, or feedback, Upplii may use them without an obligation to compensate you. This does not give Upplii ownership of unrelated customer content or organization data.

15. Service changes and availability

Upplii may improve, change, add, or remove functionality over time. We use reasonable efforts to operate and maintain the service, but we do not promise that it will be uninterrupted, error-free, or available at all times.

16. Suspension and termination

Upplii may suspend or terminate access for a material violation of these Terms, security risk, unlawful activity, non-payment, or risk to other users or the service. Where reasonable, Upplii will provide notice and an opportunity to resolve the issue.

After termination, access to the service may end or be limited. Data may be retained, deleted, or made unavailable in accordance with the applicable organization's instructions, Upplii's operational needs, and legal, accounting, security, dispute, and enforcement requirements.

17. Privacy

Upplii's Privacy Policy describes how personal information is collected, used, disclosed, retained, and protected.

18. Disclaimers

To the extent permitted by law, Upplii is provided on an "as available" basis. Upplii does not provide legal, tax, medical, safeguarding, insurance, or financial advice. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

19. Limitation of liability

To the extent permitted by law, Upplii Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data. Upplii Inc.'s aggregate liability for claims relating to the service will not exceed the amounts paid to Upplii for the service giving rise to the claim during the 12 months before the event giving rise to liability. These limits do not apply where liability cannot legally be excluded or limited.

20. Organization indemnity

To the extent permitted by law, a subscribing organization is responsible for third-party claims arising from its unlawful use of the service, content or information it submits without authority, its sporting activities or operational decisions, or its violation of another person's rights. This section applies to business and organizational customers, not indiscriminately to children or casual participant users.

21. Governing law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without overriding mandatory consumer protections that apply based on a user's location.

22. Changes to the terms

Upplii may update these Terms from time to time. When changes are material, Upplii will communicate them through reasonable methods and update the effective date.
